These Terms of Service govern your use of the U-Fab platform. By creating an account or using U-Fab, you agree to these terms. Please read them carefully before using the platform.

U-Fab ("U-Fab," "we," "us," or "our") operates the UFabrication platform. References to "U-Fab" or "UFabrication" throughout these Terms refer to the same business.

1. What U-Fab Is
U-Fab is an online marketplace that connects clients with qualified designers, manufacturers, and fabricators. U-Fab provides tools for posting projects, submitting bids, messaging, managing invoices, and processing payments through escrow.
U-Fab does not provide manufacturing, fabrication, or design services itself. U-Fab is not a party to contracts between clients and vendors.
2. Platform Infrastructure
U-Fab operates using third-party infrastructure services, including:
- Application hosting provided by Vercel
- Authentication, database, and file storage provided by Supabase
- Transactional email delivery provided by Resend
- Payment processing provided by Stripe
- Private source code repositories hosted on GitHub with restricted access
- Domain registration managed through GoDaddy
By using U-Fab, you acknowledge that platform operations depend on these third-party service providers.
3. User Types
U-Fab users include:
- Clients: Users who post projects, review bids, and select vendors
- Vendors: Verified Canadian manufacturers and fabricators who submit bids and complete projects
- Admins: U-Fab personnel who manage platform operations
- Guests: Visitors who browse the website without an account
4. Account Registration & Verification
To use U-Fab, you must create an account.
Clients must complete identity verification. Vendors must provide business information and complete a verification process before their account is approved.
You are responsible for keeping your account information accurate and secure.
5. Platform Use
Users may:
- Post projects and upload files
- Send messages
- Submit and receive bids
- Accept or reject bids
- Fund escrow payments and receive payouts
- Manage invoices
Users may not:
- Provide false information
- Misuse files or content
- Harass or abuse others
- Upload illegal content
- Attempt to bypass the platform (e.g. to avoid fees or verification)
6. Payments & Escrow
Payments are processed through Stripe.
U-Fab holds project funds in escrow. Deposit payments may be released to the vendor once paid; remaining balances are released once the client confirms the project has been delivered.
U-Fab charges vendors a commission fee of up to 5% of the project price. This fee may be waived or reduced during promotional periods (currently 0% as part of an early-access launch promotion). Any applicable commission is not refundable.
Vendors and clients are responsible for their own tax obligations. All transactions are conducted in Canadian dollars.
7. Project Completion & Refunds
If a project is not delivered as agreed and sufficient evidence is provided, U-Fab may refund the client. If delivery is confirmed, funds are released to the vendor.
U-Fab encourages users to resolve issues directly with one another wherever possible.
8. Disputes
U-Fab does not provide full dispute resolution services. U-Fab may assist with limited escrow-related decisions but does not guarantee outcomes.
Users accept the normal risks associated with custom manufacturing and fabrication projects.
9. Intellectual Property
- Clients own all uploaded designs and files
- U-Fab receives a limited license to display and process content on the platform
- Vendors may only use files for the approved project
- Vendors may not reuse designs outside the project without the client's consent
- Modified or redesigned work belongs to the client
10. Confidentiality
Vendors may access design files only for the purpose of fulfilling a project, and must not disclose client files or designs outside of the platform without the client's permission.
11. Account Suspension & Termination
U-Fab may suspend or terminate accounts for:
- Harassment
- Misuse of information
- Failure to deliver projects
- Exploitation of other users
- Violation of these Terms
Users may delete their accounts at any time.
12. Ratings & Feedback
U-Fab may allow users to rate each other. Ratings are intended to support transparency and trust on the platform.
13. Limitation of Liability
U-Fab is not responsible for:
- Vendor performance
- Project outcomes
- Indirect or consequential damages
- Loss of profits or business
U-Fab operates solely as a marketplace platform facilitating communication, payments, and project management.
14. No Guarantees
U-Fab does not guarantee:
- Vendor quality
- Project success
- Pricing accuracy
- Delivery timelines
Users participate at their own discretion.
15. Governing Law
These Terms are governed by the laws of British Columbia, Canada.
16. Changes to Terms
U-Fab may update these Terms at any time. Continued use of the platform after changes are posted means you accept the updated Terms.
